A rapidly expanding digital learning solution is looking for an experienced Legal Manager (x1) in its Bangkok office to take on this exciting opportunity. In this job, you will be responsible for all legal functions of this thriving company.

About The Legal Manager Role

This role will require key support to the legal function of this business, to provide legal advice and guidance to the business, contract management and maintenance and a collaborative support with other functions of the organization. The function will also require support for business license to operate, compliance, secretarial obligations as well as the support in the drafting, negotiating and execution of agreements. This role offers a competitive base salary with attractive benefits.

Key Responsibilities

  • Prepare the company for IPO and converting to public listed company
  • Ensuring compliance of the company and the Board of Directors with the relevant laws, rules & regulations, and corporate governance practices
  • Prepare, draft, and review commercial contracts both in Thai and English to ensure that terms and conditions comply with applicable laws and regulations, and properly protect the company's interest
  • Prepare and provide legal documents such as contracts, POA, NDA, and MOU
  • Provide legal advice to and coordinate with related stakeholders of the company to ensure compliance with applicable laws and regulations
  • Provide legal trainings for related parties of the company on existing and upcoming laws and regulations
  • Undertake other ad-hoc projects, liaise with government authorities and other third parties

To succeed in this role, you must have confidence to work with high-level managements.

Key Requirements

  • At least five years of experience in the field of legal
  • Academic degrees in Laws or related fields
  • Must possess a law practicing license
  • Familiar with Thai corporate and commercial law and litigation
  • Comprehensive knowledge of corporate governance and compliance principles
  • Experience in IPO process is a major plus
  • Great service mindset; love helping people in the company
  • Enjoy a hands-on approach to work. Willing to work side-by-side with the working team
  • Ability to multitask, strong analytical and problem-solving skills.
  • Ability to conceptualize and break down complex issues into actionable tasks
  • Effective interpersonal, communication, and presentation skills
  • Comfortable using technology and digital productivity tools
  • Able to communicate in both Thai and English
