Job Description
Job Purpose
The Bond Registrar Associate is responsible for supporting the end-to-end bond registration, documentation, data management, and investor servicing processes for debt instruments issued for Siam Validus. The role ensures accuracy, compliance with Thai regulatory requirements, and timely coordination with issuers, investors, paying agents, and regulatory bodies such as the SEC and ThaiBMA.
Key Responsibilities
1. Bond Registration & Documentation
- Assist in preparing, reviewing, and maintaining documentation required for bond issuance (e.g., registrar agreements, issuance terms, bondholder registers).
- Coordinate with issuers, legal counsel, underwriters, and external partners to ensure all requirements are fulfilled prior to issuance.
- Support the onboarding of new bond issues into registrar systems in accordance with internal procedures and regulatory standards.
2. Bondholder Registry Management
- Maintain accurate and up-to-date bondholder records, including transfers, pledges, and ownership updates.
- Process corporate actions related to bonds (e.g., interest payments, early redemption, maturity).
- Reconcile bond register data with paying agents, custodians, and depositories (e.g., TSD).
3. Compliance & Regulatory Coordination
- Ensure all registrar operations comply with the Securities and Exchange Commission (SEC), Thai Bond Market Association (ThaiBMA), and other relevant regulatory guidelines.
- Prepare periodic reports and submissions to regulators as required.
- Support internal and external audits related to registrar functions.
4. Client & Stakeholder Support
- Serve as a point of contact for issuers and investors regarding bond registration, ownership inquiries, and transaction processing.
- Coordinate with internal teams (operations, legal, compliance, finance) to resolve issues.
- Provide timely and professional customer service to stakeholders.
5. Operational Support & Process Improvement
- Ensure accurate data entry, system updates, and document filing to maintain strong operational controls.
- Assist in system testing, enhancement discussions, and workflow improvements.
- Support ad-hoc projects related to new bond products, regulatory changes, or operational initiatives.
6. Any other assignment, as assigned by the Department Head or Management
Qualifications & Requirements
Education:
- Bachelor's degree in Finance, Accounting, Business Administration, or a related field.
- Experience:
- 1-3 years of experience in a back-office operations role within the Thai capital markets, preferably in registrar services, securities operations, custody, or a related field.
- Preferred: Direct experience with bond registration, fixed income operations, or corporate action processing in a Thai financial institution.
- Familiarity with the (Thailand Securities Depository Co., Ltd. - TSD) systems and procedures is a significant advantage.
- Knowledge & Skills:
- Strong understanding of Thai bond market structure, instruments, and regulations (SEC, ThaiBMA).
- Excellent attention to detail and a high degree of accuracy.
- Good numerical and analytical skills.
- Proficiency in MS Office, especially Excel.
- Ability to work under pressure and meet strict deadlines.
