Job Description

Job Summary

We are seeking an accomplished Chief Legal Officer (CLO) to lead the Group's legal strategy across MBK Holding and its subsidiaries, with a strong focus on litigation, dispute resolution, and legal risk management.

The successful candidate will serve as the Group's principal legal advisor, overseeing complex legal disputes, managing external legal counsel, protecting the Group's legal interests, and providing strategic legal guidance to the Board of Directors, senior executives, and subsidiary companies. This role also drives corporate governance, legal compliance, and strategic business transactions across the Group.

Key ResponsibilitiesLitigation & Dispute Management
  • Lead the Group's litigation strategy and oversee all significant legal disputes, court proceedings, arbitration, and settlement negotiations.
  • Develop litigation strategies to minimize legal exposure while protecting the Group's commercial interests.
  • Manage and evaluate external legal counsel to ensure effective legal representation and cost efficiency.
  • Assess litigation risks and provide strategic recommendations to senior management and the Board.
Legal Strategy & Corporate Governance
  • Develop and execute the Group's legal strategy aligned with business objectives.
  • Advise the Board of Directors, Executive Committee, senior management, and subsidiaries on significant legal matters.
  • Support corporate governance initiatives and legal risk management across the Group.
  • Ensure compliance with applicable laws, regulations, and internal governance standards.
Corporate Legal & Business Transactions
  • Lead legal support for strategic investments, mergers & acquisitions (M&A), joint ventures, and major business transactions.
  • Establish legal standards for contracts, legal documentation, and legal practices across all group companies.
  • Oversee corporate restructuring, company incorporation, dissolution, and intercompany transactions.
Leadership & Risk Management
  • Identify emerging legal risks and recommend mitigation strategies.
  • Regularly report significant legal matters to senior management and the Board.
  • Build, mentor, and lead a high-performing legal team while fostering collaboration across business units.

Qualifications
  • Bachelor's degree or higher in Law.
  • Attorney-at-Law License is preferred.
  • Minimum 10–15 years of experience in litigation, dispute resolution, corporate legal affairs, or commercial law, including at least 5 years in an executive leadership role.
  • Proven experience leading complex litigation, high-value legal disputes, arbitration, and settlement negotiations.
  • Strong experience managing external legal counsel and litigation strategy.
  • Experience in corporate law, corporate governance, legal risk management, and M&A transactions.
  • Experience working in large corporations, diversified business groups, or holding companies.
  • Excellent leadership, negotiation, stakeholder management, and strategic communication skills.
  • Strong business acumen with the ability to balance legal risks and commercial objectives.
