Position: Company Secretary
Our client is leading investment company in renewable energy development projects across Thailand and Asia, focusing on clean energy initiatives such as solar power, wind energy, and other sustainability projects to create a greener and more sustainable future for society and the environment.
Key Responsibilities:
- Organize and manage Board of Directors and Shareholders Meetings, including preparing meeting agendas, minutes, and related documentation.
- Prepare and maintain statutory records, such as the company's Memorandum of Association, shareholder register, and other legal documents as required by law.
- Coordinate and liaise with internal departments, the Board of Directors, shareholders, and external organizations such as the Department of Business Development, the Stock Exchange of Thailand, and other relevant government authorities.
- Ensure that the company operates in compliance with applicable laws, regulations, and corporate governance policies.
- Advise the Board of Directors on legal and regulatory matters affecting the company.
- Support the preparation and execution of business documents, contracts, and official reports to relevant authorities.
Qualifications
- Bachelor's degree or higher in Law, Business Administration, or a related field.
- Minimum of 35 years of experience as a Company Secretary. (Experience in the energy sector or a law firm is an advantage.)
- Strong understanding of the Public Limited Companies Act, the Securities and Exchange Commission (SEC), and the Stock Exchange of Thailand (SET) regulations.
- Excellent communication, coordination, and organizational skills.
- Proficiency in English, both written and spoken.
- Possession of a certificate from the Thai Institute of Directors (IOD) will be considered an advantage.
