Job Description

Job Summary

The Company Secretary Officer supports the Company Secretary in ensuring the company complies with applicable laws, regulatory requirements, and corporate governance standards. The role involves assisting with corporate secretarial matters, maintaining statutory records, preparing documentation for board and shareholder meetings, and coordinating regulatory filings with relevant authorities including the Department of Business Development (DBD), Securities and Exchange Commission (SEC), and the Bank of Thailand (BOT).

Key Responsibilities

1. Corporate Governance & Regulatory Compliance

  • Assist in ensuring the company complies with applicable laws, regulations, and corporate governance requirements.
  • Support regulatory filings and submissions with relevant authorities including the DBD, BOT, and SEC where applicable.
  • Monitor regulatory updates and assist in implementing compliance requirements.
  • Maintain statutory registers and ensure corporate records are accurate and up to date.

2. Board & Shareholder Meeting Support

  • Assist in organizing Board of Directors, committee, and shareholder meetings.
  • Prepare meeting agendas, board papers, and supporting documentation.
  • Draft meeting minutes and resolutions and follow up on action items.

3. Corporate Documentation

  • Assist in drafting and reviewing corporate documents such as board resolutions, shareholder resolutions, and internal governance documents.
  • Maintain proper filing and document control for all corporate secretarial records.
  • Support preparation of corporate governance reports and internal documentation.

4. Coordination & Administrative Support

  • Coordinate communication between management, directors, regulators, and external stakeholders when necessary.
  • Support internal teams on corporate governance and documentation requirements.
  • Assist in corporate exercises, regulatory inspections, and audits.

Qualifications

  • Bachelor's degree in Law, Business Administration, Corporate Governance, or related field.
  • Legal background or degree in Law is highly preferred.
  • At least 2 years of relevant experience in corporate secretarial, legal, compliance, or regulatory roles.
  • Experience dealing with regulatory authorities such as the DBD, BOT, or SEC will be an advantage.

Skills & Competencies

  • Basic understanding of corporate governance and regulatory compliance.
  • Strong attention to detail and ability to handle confidential information.
  • Good drafting skills for corporate documents and meeting minutes.
  • Strong organizational and coordination skills.
  • Good communication skills in English and Thai.
  • Proficiency in Microsoft Office (Word, Excel, PowerPoint).
