Job Description

We are looking for an experienced and detail-oriented Compliance Manager to lead compliance management and corporate governance practices across the company and its subsidiaries. This role is responsible for ensuring that business operations, disclosures, and internal policies are aligned with applicable regulatory requirements and corporate standards.

Key Responsibilities

1. Compliance Planning & Control

  • Oversee and monitor the company and its subsidiaries to ensure operations are conducted properly and in compliance with corporate charters, policies, regulations, and all applicable laws.
  • Plan, control, and manage disclosure activities, data preparation, and regulatory reporting to ensure compliance with requirements for public companies.
  • Ensure compliance with relevant regulations and requirements issued by the Stock Exchange of Thailand (SET), the Securities and Exchange Commission of Thailand (SEC), the Ministry of Commerce, the Thailand Securities Depository, and other related authorities.

2. Operational Compliance Support

  • Communicate compliance requirements and provide preliminary guidance to directors, executives, and employees across the company and its subsidiaries.
  • Support internal stakeholders in understanding and following relevant legal, regulatory, and governance requirements.

3. Regulatory Monitoring & Advisory

  • Monitor legal and regulatory updates related to public company compliance and governance.
  • Review and revise company charters, policies, rules, and regulations to ensure alignment with new or updated legal requirements.
  • Communicate regulatory changes and support implementation across relevant business units.
  • Perform other duties as assigned by the supervisor.

Qualifications

  • Bachelor's degree or higher in Business Administration, Law, Accounting, Finance, Economics, or a related field.
  • Minimum 5 years of experience in Compliance, Corporate Governance, or related fields.
  • Candidates with a non-related degree should have at least 10 years of relevant work experience.
  • Experience working with regulatory requirements for public companies will be a strong advantage.
  • Professional certifications or related training in compliance, governance, or legal matters would be a plus.

Skills & Competencies

  • Strong understanding of compliance management, corporate governance, and general legal principles
  • Good knowledge of regulatory frameworks for public companies
  • Strong communication and coordination skills
  • Good English language proficiency
  • Strong negotiation and presentation skills
  • Ability to provide training or act as an internal facilitator
  • Proficiency in Microsoft Office
  • Strong attention to detail and data verification skills
