Our client is a well-established Singapore law firm with a strong Corporate & Family Office practice. They advise ultra-high-net-worth families, family offices, investment funds, and corporate clients on structuring, governance, regulatory compliance, and ongoing administration.
They are seeking a Corporate Secretary & Fund Administration Executive to support the establishment and day-to-day administration of Single Family Offices (SFOs), investment structures, and corporate entities. This role offers excellent exposure to family office operations, MAS regulatory frameworks, corporate governance, and compliance.
Key Responsibilities:
- Support the incorporation, setup, and ongoing administration of Single Family Offices (SFOs), investment funds, and related investment structures.
- Assist clients in maintaining compliance with MAS Section 13O and Section 13U tax incentive schemes.
- Coordinate client onboarding processes, including KYC/CDD documentation, AML screening, and due diligence.
- Prepare, maintain, and organise corporate, legal, and compliance documentation, including board resolutions, statutory registers, and regulatory filings.
- Support corporate secretarial matters, including company incorporations, annual filings, and ongoing statutory compliance.
- Liaise with clients, banks, auditors, tax advisors, and other professional service providers on fund administration and regulatory matters.
- Assist with submissions and correspondence with ACRA, MAS, and other regulatory authorities.
- Serve as the appointed Data Protection Officer (DPO) for assigned clients by maintaining PDPA compliance documentation and supporting data protection matters.
- Work closely with the Legal, Corporate Secretarial, and Compliance teams to deliver integrated corporate and family office solutions.
Requirements
- Bachelor's Degree in Accountancy, Law, Business Administration, Corporate Administration, or a related discipline.
- Minimum 4 years of relevant experience in Fund Administration, Family Office, Corporate Services, Corporate Secretarial, Legal, Compliance, or Financial Services.
- Good understanding of MAS Section 13O/13U tax incentive schemes, AML/CFT regulations, and KYC/CDD requirements.
- Familiarity with the Singapore Companies Act, ACRA filing requirements, and corporate governance practices.
- Experience supporting family offices, investment funds, private equity, venture capital, hedge funds, or trust structures will be highly advantageous.
- Knowledge of the Personal Data Protection Act (PDPA) and experience serving as a Data Protection Officer (DPO) is preferred.
- Proficient in Microsoft Office applications experience with corporate secretarial software will be an advantage.
- Professional, client-oriented, and able to build strong relationships with internal and external stakeholders.
- Excellent written and verbal communication skills in both English and Mandarin to effectively liaise with English- and Mandarin-speaking clients and stakeholders.
