Job Description

About Role:
Deputy General Manager - Legal (Real Estate)
Key Responsibilities

1. Real Estate Transactions

  • Lead and manage legal documentation and negotiations for:
    • Lease-in of properties for offices, network sites, PoPs, data centres, etc.
    • Lease-out of commercial properties, flats etc.
    • Purchase and sale of freehold/leasehold properties.
  • Conduct, review, and approve title due diligence, encumbrance checks, and property-related legal opinions.
  • Draft, vet, and finalize agreements, sale deeds, lease deeds, addendums, MoUs, term sheets, NDAs, and related documents.
  • Coordinate with external counsel, property consultants, and internal business teams during transactions.

2. Regulatory & Government Liaison

  • Interface with state government departments, municipal bodies, revenue authorities, Urban Development Authorities, and planning agencies for:
    • Land approvals
    • Change of land use (CLU)
    • Registration and stamp duty compliance
    • Property tax and compliance matters
    • Ensure compliance with applicable real estate, stamp duty, registration, and land laws across states.

3. Litigation & Dispute Management

  • Manage all land and property-related disputes, including litigation in:
    • Civil courts
    • High Courts
    • Collector/Tehsildar offices
    • Revenue tribunals or quasi-judicial forums
    • Coordinate with external counsels, prepare briefs, review pleadings, and ensure timely representation.
    • Develop legal risk mitigation strategies and provide proactive guidance to the business.

4. Corporate Legal Support

  • Assist in regulatory compliance and adherence to corporate governance frameworks.
  • Provide legal support for M&A transactions, including due diligence, documentation, integration, and compliance activities.
  • Support in drafting and reviewing contracts, policies, and internal frameworks, as required.
  • Participate in internal audits, risk assessments, and compliances.

5. Stakeholder Management & Advisory

  • Provide expert legal advice to senior management on real estate strategy, risk, and potential legal implications.
  • Liaise closely with Finance, Admin, Network Deployment, Procurement, and Corporate Affairs teams.
  • Represent Tata Communications in meetings with government authorities, external partners, and regulatory bodies.
  • Develop standardized templates, process improvements, and knowledge repositories for real estate legal operations.

Qualifications & Experience

  • LL.B. / LL.M. from a reputed institution.
  • 12+ years of relevant experience mainly in real estate sector, property transactions, and related regulatory affairs.
  • Strong understanding of:
    • Indian land and revenue laws
    • Transfer of Property Act
    • Registration Act
    • Stamp duty laws
    • State-specific real estate regulations
  • Experience handling multi-state real estate portfolios preferred.
  • Experience working with senior leadership and cross-functional teams.

Skills & Competencies

  • Strong drafting, negotiation, and documentation skills.
  • Excellent knowledge of land laws and property-related compliance.
  • Ability to interface with government authorities and manage regulatory processes.
  • Proven litigation management and dispute resolution capability.
  • High integrity, ownership, and decision-making ability.
  • Strong interpersonal skills with the ability to influence and guide internal stakeholders.
