Role & Responsibilities:
Debenture Tasks:
- Understand and follow SEC rules, ThaiBMA requirements, and other related regulations for bond issuance and ongoing bond matters.
- Familiar with SEC and other related systems to prepare and submit required filings, reports and information on time.
- Work closely with arrangers, registrars, bondholder representatives, legal advisors, rating agencies, and other external parties on bond-related matters.
- Prepare, review, and submit required filings, reports, and disclosures through SEC and other relevant regulatory systems accurately and within prescribed timelines.
- Ensure timely and accurate payment of bond interest, principal, and all related payment obligations.
- Ensure timely settlement of all miscellaneous bond-related payments, including registrar fees, bond representative fees, and other associated costs.
- Coordinate with Treasury and Accounting teams to ensure invoices, receipts, and tax documents (including PND 2, PND 3, and PND 53) are properly received from the registrar and relevant counterparties.
- Other ad-hoc tasks as assigned.
Loan and Working Capital Tasks:
- Understand the full loan and financing process end-to-end, including deal discussion, credit approval, documentation, drawdown, post-disbursement requirements, and ongoing compliance.
- Understand loan agreements, facility terms, and covenant requirements, and ensure the company follows them properly.
- Review and support negotiation of loan & working capital terms, covenant wording, and other key conditions with banks and lenders.
- Understand the bank approval process and coordinate with internal teams and lenders to support new facilities, amendments, waivers, and other financing requests.
- Prepare and provide financial information, supporting documents, and other materials required by banks and lenders in a complete and timely manner.
- Work with banks and internal teams on loan drawdowns, amendments, refinancing, covenant matters, and other financing-related issues.
- Monitor compliance with information covenants and financial covenants, including calculation, reporting, and timely submission.
- Other ad-hoc tasks as assigned.
Qualifications:
- Bachelor's degree or higher in Finance, Accounting, Economic or related fields.
- Minimum of 5 years experience in Finance & Accounting or Debt Financing.
- Experience in improving or automating finance work processes would be a plus, such as using RPA, workflow tools, or AI tools like NotebookLM.
- Good understanding of financial statement analysis, including key financial ratios and overall financial performance.
- Good understanding of loans, bond instruments, and other credit facilities.
- Careful, detail-oriented, and able to work accurately with numbers, documents, and deadlines.
- Positive attitude and able to adapt and react fast under dynamic business environment.
- Able to handle multi-task.
- Effective communication and interpersonal skills for engaging both internal and external stakeholders.
- Excellent computer literacy especially in Ms Excel, Ms Word, Ms PowerPoint, etc.
