Position Overview:
The Legal Director will oversee the day-to-day Legal affairs of the Club in support of the overall business strategy. This will include hands-on management of activities and issues, as well as sourcing & managing any external legal support as may be required from time to time. Responsible for maintaining an effective legal, compliance and control environment, the role extends to all markets in which the Club operates, as well as assisting all departments of the Club.
You will liaise with other legal colleagues within Minor to ensure consistency of practice and support.
Key Responsibilities:
a.) overseeing junior members of the legal team, and providing guidance where required;
b.) drafting and negotiating a wide range of commercial contracts across all departments;
c.) property acquisitions and registrations;
structuring, tax and audit matters, working closely with the accounting team;
d.) marketing matters including reviewing leases, contracts, terms and conditions, and advising on compliance matters;
e.) maintaining a close relationship with the Club's Trustee, keeping them informed of all new inventory and developments with the Club, and preparing all required documents to place inventory into the Club (Development Plans, Leases, FF&E Agreements etc);
f.) sales compliance;
g.) research into domestic laws in the countries where the Club may wish to establish new operations;
h.) compliance and complaints matters including assisting the Resolutions team with Consumer Protection matters;
i.) instalment programs and lending matters; and working with the Consumer Finance team;
j.) data protection matters and advising on applicable privacy regulations;
k.) managing disputes, litigation, and working closely with external counsel;
l.) reviewing all marketing communications and customer facing documents and literature;
m.) Club Services issues and queries, reviewing Club accommodation and partner contracts, updating governing documents;
n.) IP and brand protection issues;
o.) Annual Returns and Company Secretary matters in regard to the many entities which operate under the Club;
p.) the Annual Club Committee meeting, attending and taking Minutes and assisting with required documentation and presentations;
q.) preparation of presentations about the Club for new partners and governing authorities; and
r.) any other matters from time to time affecting the Club from a legal perspective.
