MAIN PURPOSE
The Legal Assistant Manager / Manager will act as the key legal business partner for Shiseido Thailand, providing practical and commercially sound legal advice to support business growth while ensuring compliance with Thai laws, regulations, and Shiseido's global / regional policies.
This role requires a strong foundation in Commercial Law, excellent Thai and English communication skills, and the ability to apply business acumen, critical thinking, and sound judgment when advising stakeholders across the organization.
KEY RESPONSIBILITIES
Commercial Legal Advisory & Contract Management
- Provide legal advice on day-to-day business operations, with strong focus on Commercial Law and risk mitigation.
- Draft, review, negotiate, and advise on commercial contracts in Thai and English, including service agreements, licensing agreements, lease / counter agreements, procurement agreements, marketing agreements, distribution-related agreements, NDAs, MOUs, and other business documents.
- Support commercial projects, campaigns, partnerships, retail operations, e-commerce initiatives, and business expansion plans.
- Identify legal risks and provide practical, business-oriented solutions that balance compliance, speed, and commercial needs.
Business Partnering & Stakeholder Management
- Act as a trusted legal advisor to business stakeholders across Sales, Marketing, Retail, E-commerce, Finance, HR, Procurement, Supply Chain, Regulatory Affairs, and Management.
- Partner with business teams to understand commercial priorities and provide clear, practical, and solution-focused legal guidance.
- Work closely with SAPAC / Regional Legal teams on contracts, legal reviews, compliance matters, and regional projects.
- Communicate legal advice in a clear and concise manner to support effective decision-making.
Regulatory, Compliance & Risk Management
- Advise on relevant laws and regulations affecting the business, including commercial law, consumer protection, advertising / marketing regulations, data privacy / PDPA, labor law, corporate law, and regulatory compliance.
- Provide Legal support to review marketing materials, product claims, promotions, influencer / agency arrangements, and consumer-facing communications.
- Monitor key legal and regulatory developments and assess potential business impact.
- Support implementation of internal policies, Code of Conduct, compliance training, anti-bribery / anti-corruption practices, and risk mitigation actions.
Corporate Governance & Company Secretarial Matters
- Support corporate governance matters including Board of Directors meetings, shareholder meetings, corporate registrations, regulatory filings, powers of attorney, licenses, permits, and corporate records.
- Ensure corporate documents and governance processes comply with Thai laws, company requirements, and regional / global standards.
- Provide legal support for internal approvals and corporate authority matters.
Dispute, Employment & External Counsel Management
- Manage or support litigation, disputes, consumer complaints, employment matters, regulatory inquiries, and other legal issues.
- Provide legal advice to HR and business leaders on employment-related matters, including employment contracts, policies, disciplinary actions, termination, and labor law compliance.
- Coordinate with external counsel to ensure timely, practical, and cost-effective legal support.
Data Privacy / PDPA
- Provide legal advice on PDPA and data privacy matters, including employee data, customer data, CRM, e-commerce, marketing consent, vendor data processing, and privacy notices.
- Support privacy-related policies, training, documentation, and remediation actions in alignment with local law and regional / global requirements.
REQUIREMENTS
- Bachelor's degree in Law; Master's degree is preferred.
- Minimum 7–10 years of legal experience from a law firm and / or in-house legal role.
- Must have strong hands-on experience in Commercial Law, commercial contracts, contract drafting, review, negotiation, legal advisory, and risk management.
- Experience in FMCG, beauty, cosmetics, retail, luxury, healthcare, consumer goods, e-commerce, or multinational companies is preferred.
- Experience working with regional / global legal teams or matrix organizations is an advantage.
- Fluent Thai and English are required. Must be able to draft, review, negotiate, and communicate legal matters professionally in both languages.
- Strong business acumen, critical thinking, logic, stakeholder management, and business partnering skills.
- Experience advising business stakeholders independently and managing external counsel.
- Proficiency in Microsoft Office.
