We are working with an MAS-regulated financial services entity seeking to appoint a Legal Counsel, Corporate Governance.
This is a key role within the legal function, reporting directly to the General Counsel. The successful candidate will be responsible for managing end-to-end corporate secretarial and corporate governance matters, supporting the Board, Board Committees, senior management, and internal stakeholders on governance-related issues.
The role requires strong familiarity with corporate governance requirements applicable to MAS-regulated entities, as well as the ability to operate confidently in a regulated financial services environment.
Key Responsibilities
- Manage the full spectrum of corporate secretarial matters, including Board and Board Committee administration, meeting preparation, minutes, resolutions, statutory registers, and regulatory filings.
- Support the General Counsel in advising the Board, Board Committees, and senior management on corporate governance matters, directors duties, governance frameworks, internal policies, and regulatory expectations.
- Coordinate and prepare materials for Board and Board Committee meetings, ensuring accurate, timely, and high-quality documentation.
- Maintain corporate records, statutory registers, governance documents, delegations of authority, terms of reference, and other key corporate documentation.
- Ensure compliance with applicable corporate governance requirements, the Companies Act, MAS regulations, notices, guidelines, and other relevant regulatory obligations.
- Support the review, enhancement, and implementation of governance policies, frameworks, and processes to ensure alignment with regulatory expectations and industry best practices.
- Work closely with compliance, risk, finance, operations, and business stakeholders on governance-related matters, regulatory submissions, internal approvals, and corporate actions.
- Assist with entity management matters, including incorporations, changes in directors/officers, share capital matters, annual returns, and other corporate transactions.
- Support the General Counsel on regulatory engagement, governance reviews, audits, inspections, and internal governance improvement initiatives.
- Monitor legal and regulatory developments relating to corporate governance and MAS-regulated financial institutions, and assess their impact on the business.
- Provide legal and governance support on ad hoc corporate, regulatory, and strategic projects as required.
Requirements
- Minimum 7 years of relevant experience in corporate governance, corporate secretarial, legal, or regulatory roles.
- Strong understanding of corporate governance requirements applicable to MAS-regulated financial services entities is essential.
- Experience working in a bank, asset manager, payment services firm, capital markets services license holder, insurance company, fintech, or other MAS-regulated financial institution would be highly advantageous.
- Strong working knowledge of Singapore corporate law, directors duties, Board governance, statutory filings, and regulatory expectations.
- Prior experience supporting Boards, Board Committees, senior management, and regulated entity governance processes.
- Legal qualification and/or corporate secretarial qualification would be advantageous.
- Excellent drafting, organisational, stakeholder management, and communication skills.
- High attention to detail, strong judgment, and the ability to manage sensitive and confidential matters with discretion.
- Able to work independently while partnering effectively with legal, compliance, risk, finance, and business stakeholders.
- Commercially minded, pragmatic, and comfortable operating in a fast-paced regulated environment.
