What You'll Drive

  • Drafting and Reviewing Legal Documents

1.1Draft, review, and negotiate contracts, notices, memoranda of understanding, powers of attorney, and other legal documents to ensure compliance with applicable laws and safeguard the company's interests.

1.2 Provide legal guidance to project teams during contract negotiations to facilitate sound decision-making.

1.3 Offer advice on negotiation strategies and establish the commercial terms of agreements to ensure clarity and risk mitigation.

  • Provide Legal Advice

2.1 Implement, oversee, and maintain an efficient contract management system to ensure the proper handling of legal documents.

2.2 Advise stakeholders on contractual rights, obligations, and potential legal implications; provide training to relevant departments to ensure understanding and compliance.

2.3 Offer legal consultation, guidance, and support on various legal matters, including business transitions and other organizational changes as assigned.

2.4 Proactively identify legal risks and recommend appropriate measures or strategies to mitigate potential issues.

2.5 Provide legal oversight and guidance related to internal controls, risk management, and compliance frameworks within the organization.

  • Dispute Resolution

3.1 Manage and oversee legal disputes and litigation, including drafting settlement agreements, mediations, and alternative dispute resolution procedures prior to court proceedings.

3.2 Collaborate with external legal counsel as necessary to develop strategies and support the resolution of legal disputes.

  • Legal Compliance

4.1 Oversee compliance activities and provide guidance on compliance matters, including monitoring updates to legislation and regulations affecting the business.

4.2 Manage the resolution of compliance issues within the business and advise management and staff on the implications of regulatory changes.

4.3 Monitor and maintain compliance-related records, including filing and updating compliance checklists for group companies. Support or conduct compliance risk assessments by collaborating with internal functions and management to identify and evaluate potential compliance risks.

4.4 Develop, implement, and oversee internal controls and governance frameworks to ensure proper operational and legal compliance across all departments.

  • PDPA (Personal Data Protection Act) DPO Responsibilities

5.1 Lead and oversee the organization's compliance efforts with PDPA requirements, including data collection, processing, storage, and sharing practices.

5.2 Develop, review, and implement policies, procedures, and internal controls related to personal data protection to ensure full adherence to legal standards.

5.3 Coordinate and execute internal audits and assessments of data protection practices to monitor ongoing compliance with PDPA.

5.4 Conduct training and awareness programs for employees to promote understanding and adherence to data privacy and protection standards.

5.5 Act as the primary point of contact and official representative of the organization on all matters related to data privacy, including handling data breach incidents, data subject requests, and other compliance activities under PDPA.

What You'll Bring

  • Bachelor's or Master's degree in Law (LL.B. or LL.M.)
  • Qualified lawyer in Thailand (holding a Thai Lawyer License and Barrister-at-Law preferred)
  • At least 10 years of experience in contract law, with a strong background in corporate and commercial transactions. Prior experience working at a law firm or in-house legal department handling complex contracts is highly desirable.
  • Fluent in Thai and English, with excellent legal drafting skills in both languages.
  • Strong analytical and problem-solving abilities, with meticulous attention to detail.
  • Excellent negotiation skills and stakeholder management capabilities, with an emphasis on achieving amicable agreements and making effective compromises when necessary.
  • Ability to work effectively under pressure, managing multiple priorities efficiently in a fast-paced environment.
  • Proven track record of delivering high-quality legal support, demonstrating patience, adaptability, and a commitment to continuous learning.
  • Commercial acumen, with the ability to balance legal risks and considerations against business objectives, and to facilitate compromises that support organizational goals.
  • Leadership skills, with the capability to manage, motivate, and develop a legal team to perform at their best.
