Reporting to: Chief Investment Officer
Location: Bangkok, Thailand
Key Responsibilities
- Lead and manage the legal workstream for M&A, investments, joint ventures and strategic transactions.
- Advise the Chief Investment Officer and senior management on transaction structure, legal risks and investment considerations.
- Lead legal due diligence and identify key legal, regulatory and commercial risks.
- Draft, review and negotiate transaction documents, including SPAs, JV agreements, shareholders agreements, subscription agreements, term sheets and NDAs.
- Manage negotiations with sellers, investors, JV partners, financial institutions and other counterparties.
- Coordinate external legal counsel and other professional advisers throughout the transaction lifecycle.
- Support transactions from initial evaluation and structuring through due diligence, negotiation, signing and closing.
- Work closely with Finance, Tax, Commercial and other internal teams to ensure successful execution of transactions.
- Provide practical, commercially focused legal advice to support investment decisions and business objectives.
- Support post-closing matters, including restructuring, governance and ongoing shareholder arrangements.
Key Requirements
- Thai-qualified lawyer
- Strong background in Corporate M&A, Private Equity, Investments or Corporate Transactions.
- Experience gained from a top-tier international or leading Thai law firm.
- Proven track record of handling complex M&A and investment transactions, preferably including cross-border deals.
- Strong experience in transaction structuring, legal due diligence, negotiation and transaction documentation.
- Excellent commercial judgement with the ability to translate complex legal issues into clear, practical business advice.
- Strong English communication, drafting and negotiation skills.
- Experience in technology, telecommunications, data centres, digital infrastructure, energy or other infrastructure sectors would be an advantage.
- Comfortable working directly with C-suite executives, investment teams and external advisers.
- Highly proactive, commercially minded and able to manage multiple transactions in a fast-paced environment.
