JOB DESCRIPTION
Position Title: Legal Director
Department: Legal
Location: One Bangkok or Chachoengsao
Reports to: Deputy Managing Director
Employment Type: Full-Time
The Legal Director is part of the Legal Department and serves as the
head or leader of the organizations legal team. The main
responsibilities include acting as the legal representative of the
organization; setting objectives and goals for the legal team in
alignment with the objectives and goals of the organization; developing
legal work systems in accordance with the organizations operational
direction; as well as connecting and coordinating with the
organizations management across each functional area to ensure that
operations are conducted in compliance with applicable laws and achieve
the organizations objectives.
- Relations
- The Legal Director reports directly to the Support Function
Director.
- The Legal Director provides legal advice and operational guidance to
Legal Department/Section Managers and Legal Officers.
- The Legal Director coordinates with management and employees from
all departments of the Company to provide legal advice and establish
operational directions as required by law.
- The Legal Director liaises with external organizations to carry out
legal matters.
- Responsibilities and Authorities
The Legal Director has the primary authority, duties, and
responsibilities to establish objectives and goals for the legal team in
alignment with the objectives and goals of the organization and in
compliance with applicable laws.
The Legal Director may provide legal opinions on all activities of the
Company in order to determine operational directions or support
decision-making by persons authorized to act on behalf of the Company.
4.1 Legal Strategy & Business Partnership
- Develop and drive the organizations legal strategy in alignment
with its vision and business objectives.
- Support management in business planning, strategic risk assessment,
and provide in-depth legal advice.
4.2 Legal Operations
- Review, analyze, and provide advice regarding contracts, trade,
investment, taxation, intellectual property, labor, and
environmental matters.
- Review and approve domestic and international business contracts,
particularly those with international B2B partners.
4.3 Legal Risk Management
- Develop and oversee the Legal Risk Matrix and propose proactive risk
management approaches.
- Oversee litigation, legal cases, and arbitration proceedings both
domestically and internationally.
4.4 Corporate Governance & Compliance
- Ensure that the business complies with relevant laws, such as public
law, BOI regulations, environmental laws, labor laws, etc.
- Oversee shareholder and Board of Directors meetings to ensure
compliance with applicable laws and regulations.
- Monitor and analyze new laws and regulations issued by regulatory
authorities, such as the SEC, Bank of Thailand, BOI, Revenue
Department, and other regulatory bodies.
4.5 Contract Management & Negotiation
- Review, draft, revise, and manage domestic and international
contracts, including raw material purchase agreements,
transportation agreements, OEM agreements, and MOUs.
- Represent the Company in strategic contract negotiations with
national and international business partners.
4.6 M&A and Investment Support
- Provide advice and review the structure of M&A transactions, the
establishment of subsidiaries, share acquisitions, or joint
ventures.
- Coordinate with external legal counsel in foreign countries.
4.7 Legal Team Leadership
- Develop and manage a high-performing legal team with expertise in
specialized areas of law, such as environmental law, BOI law, and
international trade law.
- Develop effective legal standards and work systems, such as Legal
Manuals, Legal Checklists, and Legal Training.
4.8 External Counsel Management
- Select, supervise, and evaluate external law firms.
- Manage legal expenses efficiently and cost-effectively.
4.9 Policy, Ethics & Anti-Corruption
- Establish and promote business ethics policies.
- Oversee compliance with anti-fraud and anti-corruption laws and
standards (Anti-Corruption Program).
4.10 Data Privacy & Cybersecurity Law
- Oversee compliance with the PDPA and Cybersecurity Law.
- Support the development of risk control structures related to data
and cybersecurity.
4.11 Stakeholder & Regulatory Engagement
- Represent the Company in coordinating with government agencies and
regulatory organizations.
- Support the development of positive relationships with partners and
stakeholders.
4.12 Special Projects & Others
Perform special projects and other duties as assigned.
Qualifications
Education
- Bachelors Degree in Law.
- Masters Degree in Law or Business Administration.
Experience

- Proficiency in Microsoft Office (Word, Excel, PowerPoint).
- Knowledge of law and business.
- Strong communication and negotiation skills.
- Strong analytical thinking skills and willingness to learn new
