Legal Manager - Bangna area

Reports To: Head of Legal

Position Purpose

The Legal Manager is responsible for overseeing and coordinating legal matters within the local jurisdiction, ensuring legal consistency, corporate compliance, and regulatory adherence across the organization. This role provides practical legal guidance to the business, manages legal risks, and supports commercial, operational, and governance matters.

Key Responsibilities

1. Contract Review & Drafting

  • Review, draft, and negotiate a broad range of commercial agreements, including:
  • Distribution, supply, and service agreements
  • Non-disclosure agreements (NDAs)
  • Vendor and procurement agreements
  • Review and draft employment-related agreements and documentation.
  • Ensure contractual arrangements comply with company policies, legal requirements, and approved risk parameters.
  • Maintain and update agreement templates and standard contractual terms.

2. Legal Compliance & Corporate Governance

  • Support business teams in understanding and complying with applicable laws, regulations, and internal policies.
  • Partner with Internal Audit and relevant stakeholders to develop, implement, and monitor compliance policies, frameworks, and templates.
  • Prepare and manage corporate secretarial documentation, including:
  • Board resolutions
  • Shareholders resolutions
  • Corporate approvals, filings, and registrations
  • Maintain statutory records and coordinate administrative matters with notaries, regulators, and internal stakeholders.
  • Monitor and communicate regulatory developments and legal updates impacting the business.

3. Legal Advisory & Business Support

  • Provide practical, commercially focused legal advice to internal stakeholders across commercial, finance, HR, and operations functions.
  • Manage, instruct, and coordinate external legal counsel when required.
  • Act as a liaison with regulatory authorities and government agencies during inspections, inquiries, and official communications.
  • Maintain accurate records of legal documentation, licenses, compliance activities, and management reporting.

4. Risk Management & Internal Controls

  • Identify, assess, and escalate legal, compliance, and regulatory risks.
  • Support internal reviews, audits, and control assessments.
  • Recommend risk mitigation measures and promote legal best practices across the organization.
  • Ensure appropriate governance and control frameworks are maintained.

5. Disputes & Claims Management

  • Support local teams in managing disputes, claims, investigations, and litigation matters.
  • Coordinate with external counsel and relevant stakeholders on dispute resolution activities.
  • Prepare legal summaries, risk assessments, and management reports related to contentious matters.

Qualifications & Experience

  • Bachelor's Degree in Law (LL.B.); Master's Degree or professional legal qualification preferred.
  • Minimum 5–8 years of relevant legal experience, preferably in-house legal, multinational, FMCG, manufacturing, distribution, or commercial environments.
  • Strong knowledge of commercial contracts, corporate governance, compliance, and regulatory matters.
  • Experience working with external counsel, regulators, and cross-functional business stakeholders.
  • Strong analytical, negotiation, communication, and stakeholder management skills.
  • Ability to balance legal risk management with practical business solutions.
  • Fluent English communication skills, both written and spoken.
