Job Description
A listed food manufacturing company is looking for senior company secretary and legal manager. The successful candidate will report to CFO and be in charge of the overall board meeting and legal activities.
Key Responsibilities
- Serve as a strategic advisor to the Board of Directors, Board Committees, and senior management on corporate governance, compliance, and regulatory matters.
- Lead and oversee all company secretarial and corporate governance activities, ensuring compliance with SEC, SET, and other applicable regulatory requirements.
- Plan and coordinate Board, committee, and shareholder meetings, including agenda preparation, meeting documentation, resolutions, and regulatory submissions.
- Manage corporate disclosures, regulatory filings, and reporting activities to ensure accuracy, transparency, and timely compliance.
- Develop, review, and enhance governance frameworks, policies, charters, and internal control practices to support best-in-class governance standards.
- Act as the primary liaison with regulatory authorities, external auditors, legal counsel, and other professional advisors.
- Provide legal and commercial guidance on corporate, contractual, and regulatory matters to support business objectives.
- Identify, assess, and mitigate governance, compliance, and legal risks across the organization.
- Lead, coach, and develop the Corporate Affairs & Legal team, fostering a high-performance and collaborative culture.
- Drive continuous improvement initiatives to strengthen governance effectiveness, compliance processes, and operational efficiency.
Qualifications
- Bachelor's or Master's degree in Law, Corporate Governance, Business Administration, or a related discipline.
- Minimum 10 years of experience in Corporate Affairs, Company Secretariat, Corporate Governance, Legal, or related functions.
- Proven experience within a listed company environment, with strong knowledge of SEC and SET regulations.
- Demonstrated experience advising Boards of Directors, Board Committees, and senior executives on governance and compliance matters.
- Strong understanding of corporate governance principles, statutory requirements, and regulatory reporting obligations.
- Excellent communication, stakeholder management, and negotiation skills in both Thai and English.
