Job Description

To strengthen the company's governance framework by ensuring compliance with group policies, regulatory requirements, and international best practices. The Senior Corporate Governance Officer will support the development, implementation, and monitoring of governance initiatives to uphold transparency, accountability, and sustainability within the organization and across subsidiaries.

Responsibilities:

1. Corporate Governance Framework

  • Support implementation of corporate governance policies and guidelines in alignment with the group (CPG) standards and sustainability frameworks (ESG).
  • Responsible for monitoring CG training, promoting CG initiatives, engaging employee networks, and tracking CG activities and performance.
  • Review and propose updates to the governance framework in line with best practices.

2. Board & Committee Support

  • Assist in organizing board and committee meetings, including agenda preparation, materials, and minutes.
  • Coordinate board performance evaluations and director training programs.

3. Compliance & Risk Oversight

  • Monitor regulatory and compliance requirements across business units and subsidiaries
  • Track governance-related risks and escalate findings to management.
  • Coordinate with internal and external auditors to ensure governance compliance.

4. Reporting & Disclosure

  • Prepare and review corporate governance reports for submission to regulators, group-level (CPG) oversight, and sustainability reports.
  • Support disclosure of governance practices in annual reports, sustainability reports, and ESG ratings questionnaires.

5. Stakeholder Engagement

  • Act as liaison between the company, group holding (CPG), and external stakeholders (regulators, investors, associations).
  • Facilitate group meetings to consolidate governance practices across subsidiaries, enhancing alignment, consistency, and efficiency.

6. Continuous Improvement

  • Benchmark governance practices against leading companies and recommend improvements.
  • Contribute to training, capacity building, and awareness programs on corporate governance.

Requirements:

  • Bachelor's degree in Law, Business Administration, Accounting, or related field (Master's preferred).
  • At least 5–7 years of experience in corporate governance, compliance, legal, or sustainability functions.
  • Strong understanding of corporate governance codes, regulatory requirements, and ESG integration.
  • Excellent organizational, communication, and stakeholder management skills.
  • High integrity, detail-oriented, and proactive in problem-solving.
  • Proficiency in English and Thai (written and spoken).
  • Familiarity with governance technology tools and reporting systems is an advantage
