Senior Counsel, Capital Markets (8 12 PQE) - US Listed MNC

We are partnering with a US-listed multinational to appoint a Senior Counsel to join its regional legal team. This role offers the opportunity to advise on sophisticated global capital markets transactions and strategic corporate initiatives within a dynamic, international business.

This position is particularly well suited to candidates from a top-tier international law firm with a strong capital markets practice, as well as those with relevant in-house experience.

Key Responsibilities

• Advise on a broad range of capital markets transactions, including equity and debt offerings, securities issuances, and financing transactions.
• Provide legal support on SEC reporting, disclosure obligations, corporate governance, and ongoing public company compliance.
• Partner closely with senior management, finance, treasury, investor relations, and external counsel on strategic transactions and corporate initiatives.
• Draft, review, and negotiate transaction documentation and public disclosure materials.
• Advise on listing rules, securities regulations, and evolving regulatory requirements across relevant jurisdictions.
• Support M&A and other strategic corporate transactions where required.

Requirements

• Qualified lawyer with 8–12 years PQE.
• Strong capital markets experience gained at a top-tier international law firm, ideally advising listed multinational companies.
• Experience covering equity capital markets (ECM), debt capital markets (DCM), securities regulation, and public company advisory work.
• In-house experience is advantageous but not essential.
• Excellent technical ability coupled with a commercial and pragmatic approach.
• Strong stakeholder management skills and experience working across cross-border teams.
