Job Description

The Senior Legal Counsel and Company Secretary provides strategic legal advice and leadership support to the Thailand and Aviation businesses, partnering closely with senior stakeholders. The position plays a key role in legal and compliance leadership, company secretarial responsibilities, and governance under applicable securities laws. The role advises leadership teams on legal, regulatory, and compliance matters, supports complex commercial and contractual projects, and helps manage legal risk through effective guidance, negotiation, and documentation review.

What You'll Do

Company Secretary – Goodyear Thailand

  • You will serve as Company Secretary, managing Board, shareholder, and committee governance, including agendas, minutes, registers, and conflict-of-interest records.
  • You will ensure compliance with securities laws and statutory filings, including Annual Reports and required submissions to SEC, SET, and MOC.
  • You will oversee all Board-related activities and corporate governance requirements.

Senior Legal Advisor – Thailand & Aviation Businesses

  • You will act as a trusted legal advisor to the Board, leadership team, and business, ensuring strong governance and protection of shareholder interests.
  • You will advise directors on fiduciary duties, governance obligations, and regulatory compliance.
  • You will attend Board and committee meetings, prepare Board materials, and support informed decision-making.
  • You will provide legal advice on commercial, contractual, regulatory, and compliance matters, managing external counsel where required.
  • You will lead legal negotiations, contract drafting and management, and oversee legal risk for sales, marketing, distributors, and third parties.

Regional & ASEAN Legal Support

  • You will provide legal support on ASEAN matters, including contracts, labor, trade, customs, and cross-border issues.
  • You will support government audits, inspections, and regulatory interactions.
  • You will act as the primary legal interface with ASEAN and Regional Legal teams.

Compliance & Risk Management

  • You will ensure compliance with local laws and Goodyear global policies, including ethics, antitrust, and anti-corruption requirements.
  • You will lead compliance training programs, speak-up investigations, and risk mitigation initiatives.
  • You will serve as the central point of contact for legal and compliance issues across the organization.

What We're Looking For

  • You hold a Bachelor's degree in Law.
  • You have at least 8 years of legal working experience, ideally within a Thai publicly listed company.
  • You have preferably 2+ years of experience working in a multinational company with regional exposure.
  • You have preferably 2+ years of experience in a manufacturing environment.

What Will Set You Apart

  • You have strong expertise in contract, commercial, industrial relations, employment, competition law, and corporate secretarial matters.
  • You are able to draft, review, revise, and negotiate contracts and other legal documentation, and provide timely, practical legal advice across commercial, government, board, and distributor matters.
  • You demonstrate strong analytical and problem-solving skills, with the ability to interpret information and develop effective legal solutions.
  • You have a strong compliance background, including providing compliance advice, conducting investigations, drafting reports, mitigating risks, and delivering compliance training to internal associates.
  • You are experienced in dispute resolution, including negotiations, litigation, regulatory investigations, and arbitration matters.
  • You collaborate effectively with cross-functional teams, manage external counsel on complex issues, and lead or support legal and compliance projects and initiatives.
