Our client, a leading Asia-focused investment firm, is seeking a Legal Counsel to support its Public Markets team in Singapore. The strategy is long-only, investing in listed companies with a focus on Hong Kong and China, and this hire will work directly alongside the investment team on live transactions across the full investment lifecycle.

This is a predominantly legal role (90%), with a modest investment compliance component, sitting within a structured, well-run platform that is actively expanding its public markets business. It suits a capital markets lawyer (in-house or in practice) looking for genuine deal exposure on the buy-side.

Key Responsibilities

Provide legal support across the investment lifecycle for listed-market investments, including legal due diligence, transaction execution, and post-investment matters
Draft, review, and negotiate investment-related documentation, including subscription and placement documentation and related commercial agreements
Advise investment professionals on transaction structures, legal risks, securities regulations, disclosure obligations, and market conduct across Hong Kong and China-related deals
Advise on governance matters and support information barrier and conflicts management, including restricted and watch lists
Support pre- and post-trade investment compliance, including monitoring of investment guidelines and mandate restrictions
Monitor relevant legal and regulatory developments and liaise with external counsel as required

Requirements

Qualified lawyer, called to the Bar, with 3–6 years of post-qualification experience
Capital markets experience gained in-house at a fund, asset manager, or financial institution, or at a leading international or regional law firm
Strong exposure to Hong Kong and/or China-related transactions; familiarity with the Hong Kong regulatory regime and cross-border China deal dynamics highly regarded
Experience with placements, PIPEs, pre-IPO investments, or other public markets transactions; pre-IPO experience is a strong plus
Proficiency in written and spoken Mandarin is required, to review Chinese-language documentation and liaise with Mandarin-speaking counterparties
Excellent drafting, negotiation, and stakeholder management skills, with the ability to operate independently in a lean, fast-paced environment
Commercially minded and detail-oriented, comfortable partnering closely with investment professionals
