Job Purpose

Provide timely, commercially sound legal advice and support to TTA Group, with a primary focus on commercial contracts, mergers and acquisitions (M&A), and strategic transactions. The role supports business objectives by managing legal risks, facilitating transaction execution, and working closely with business units and the Group Legal team.

Key Responsibilities

1. Commercial Contracts

Draft, review, and negotiate commercial contracts and related legal documents for TTA Group and its business units.
Identify contractual risks and recommend practical solutions that balance legal protection with commercial objectives.
Manage assigned contract matters within agreed timelines and in accordance with company policies and approval requirements.

2. M&A and Strategic Transactions

Provide legal support for M&A, investments, corporate transactions, and strategic projects.
Draft, review, and negotiate transaction documents in collaboration with relevant stakeholders and external legal counsel.
Support transaction execution and coordinate legal deliverables to meet project milestones.

3. Legal Due Diligence and Risk Assessment

Conduct and coordinate legal due diligence for proposed transactions.
Analyze findings, identify material legal risks, and recommend appropriate mitigation measures.
Escalate significant legal issues to Group Legal leadership for consideration and decision-making.

4. Business Legal Advisory

Provide clear, practical legal advice to business units on commercial and transaction-related matters.
Work closely with Finance, Tax, HR, Investment, Business Development, and other relevant functions to address legal issues and support business decisions.

5. Stakeholder and External Counsel Coordination

Coordinate with internal stakeholders, external legal counsel, and other professional advisers on assigned matters.
Monitor the scope, quality, and timeliness of external legal support to promote effective use of advisory resources.

6. Broader Group Legal Support

Support dispute resolution, compliance, corporate legal matters, and other legal assignments as required.
Work within the company's Delegation of Authority and approval matrix, referring matters requiring final approval to the appropriate authority.

Qualifications and Experience

Bachelor's degree or higher in Law.
Approximately 6–8 years of legal experience in a law firm and/or an in-house legal team, including experience in commercial contracts and M&A or corporate transactions.
A lawyer's licence or relevant professional legal qualification would be an advantage.
Experience supporting a diversified business group would be beneficial.

Required Skills and Competencies

Strong commercial contract drafting, review, and negotiation skills.
Demonstrated capability in M&A transaction support, legal due diligence, legal analysis, and risk assessment.
Excellent command of Thai and English, including legal drafting, negotiations, meetings, and stakeholder advisory.
Sound commercial judgment and the ability to translate legal issues into practical business advice.
Strong analytical thinking, attention to detail, and problem-solving skills.
Ability to work independently, manage competing priorities, and deliver quality work within demanding timelines.
Effective communication, collaboration, and stakeholder management skills.
Proficiency in Microsoft Office 365 and document or contract management systems, with the ability to learn internal systems quickly.
Experience in dispute resolution, compliance, corporate law, or project management would be an advantage.
