Job Description

Job Purpose:

Ensuring the firm's compliance with legal and regulatory requirements, overseeing corporate governance practices, and driving business management and strategy initiatives. You will also play a key role in managing all management-level meetings.

Key Accountabilities:

Corporate Governance & Compliance

  • Ensure compliance with the relevant local laws and regulations, including the Securities and Exchange Commission of Thailand (SEC), the Bank of Thailand, the Stock Exchange of Thailand (SET), and other regulatory bodies (if any) in relation to Corporate Governance and Board of Directors related matters.
  • Provide local regulatory advice to the Board of Directors and senior management, and best practices in the financial services sector on corporate governance and matters.
  • Ensure adherence to the company's affidavits, articles of association, bylaws, and applicable statutory and regulatory requirements in relation to Corporate Governance and Board related matters.

Meeting Management

  • Organize and facilitate Board and Board-level committee meetings i.e. Board of Directors meeting and Audit Committee meeting and manages the relevant TORs to such Board level committees, including preparation of agendas, coordinating logistics, and ensuring the timely distribution of materials to all Board members.
  • Run and oversee Board - level committee meetings i.e. Board of Directors meeting and Audit Committee meeting, ensuring that all meetings are productive, and that appropriate discussions and decisions are captured accurately in Minutes.
  • Set up, maintain, and regularly review Terms of Reference (ToR) for Board - level committees i.e. Board of Directors meeting and Audit Committee meeting, ensuring they remain aligned with the company's strategic goals and legal requirements.
  • Ensure all Board - level meetings i.e. Board of Directors meeting and Audit Committee meeting adhere to corporate governance best practices and local regulatory requirements.

Record Keeping and Documentation

  • Maintain accurate statutory records, including company registers, minutes of Board-level meetings i.e. Board of Directors meeting and Audit Committee meeting, shareholder information, and their compliance-related documentation.
  • Ensure the timely and accurate filing of local regulatory reports and other required filings with local authorities such as SEC and BOT in relation to Corporate governance and Board related matters.

Communication & Stakeholder Management

  • Act as the primary point of contact for shareholders, directors, and regulatory authorities on Corporate Governance related matters.
  • Foster effective communication between the Board, shareholders, senior management, and key stakeholders to ensure transparency and compliance.
  • Advise on local regulatory matters related to shareholder rights and responsibilities, ensuring compliance with all shareholder-related laws and regulations.

Statutory Filings & Reporting

  • Prepare and ensure the timely submission of all statutory filings with local relevant authorities, including the SEC, BOT and the Thai Stock Exchange (SET) in relation to Corporate governance and Board of Directors related matters.

Advisory & Corporate Strategy

  • Provide strategic guidance on corporate governance related matters to senior management and the Board of Directors.
  • Assist and ensure regulatory compliance in corporate restructuring/transaction relating to corporate governance and Board related matters with local regulatory bodies such as SEC, BOT, SET.

Risk Management & Internal Controls

  • Proactively identify corporate governance and compliance risks related, proposing solutions to mitigate local regulatory risks to corporate governance.
  • Collaborate with the Legal and Compliance teams and relevant parties to ensure robust internal controls are in place to safeguard the firm's legal and regulatory standing.

Others

  • Work with overseas Secretariat teams in Head Office (Singapore) to ensure alignment of secretariat practices, to the extent legally permissible
  • Other Adhoc tasks as assigned by Head of Legal & Compliance
  • Assist Compliance Advisory & monitoring staff on Compliance monitoring implementation under annual L&C work plan.

Qualification Required:

  • Bachelor degree in Law, Finance or Business Administration related fields
  • Minimum 5 years relevant experience in the Company Secretary role. Previous in-house experience in a secretariat function and/or the banking/financial sector is an advantage
  • Good knowledge of SEC, SET, ASCO, Ministry of Commerce and other relevant statutory requirements
  • Good interpersonal and communication skills
  • Ability to build strong relationship with senior management and Board of Directors, and tactful in handling stakeholder management at all levels
  • Well-organized, systematic and able to work under pressure
  • Proficiency in spoken and written English
