Job Description

Role Overview: We are seeking a high-caliber legal professional to lead critical corporate transactions and manage the legal landscape for our expanding portfolio. This role is pivotal in driving our strategic growth through sophisticated legal advisory and rigorous documentation management.

Key Areas of Responsibility

  • Contract Negotiation & Drafting: Lead the negotiation, review, and drafting of diverse company documents, including complex lease agreements, service contracts, and construction agreements.
  • Real Estate & Hospitality Transactions: Expertise in drafting and managing Sale & Purchase Agreements, specifically for hotels, land, and real estate transactions.
  • Strategic Advisory for Expansion: Provide legal support for investment and business expansion projects to align with the company's strategic plan.
  • M&A and Joint Ventures: Handle end-to-end legal processes for Mergers & Acquisitions and Joint Venture matters both in Thailand and internationally.
  • Hospitality Management: Oversee the legal framework for hotel management and hotel franchise agreements.
  • Risk Management: Identify and assess legal risks across the organization, providing proactive advice on all legal and regulatory matters.

Operational Excellence

  • Corporate Governance: Manage company setup, statutory registrations with the Department of Business Development (DBD), and all related corporate dealings.
  • Regulatory Liaison: Act as the primary point of contact for government authorities, regulatory bodies, and external law firms.
  • Intellectual Property & Data Privacy: Oversee the protection of Intellectual Property (IP), copyrights, and patents, while supporting data protection (PDPA) compliance.
  • Litigation & Insurance: Manage legal proceedings, litigation support, and insurance-related legal matters.
  • Data Management: Responsible for the integrity and organization of Legal Department Data Management systems.

  • Qualifications
  • Bachelor's Degree or higher in Law, holding the valid Lawyer's License and Notarial Services Attorney certification.
  • Minimum 10 years of experience within a reputable law firm or as in-house counsel, preferably within the Hotel or Real Estate Development industries.
  • Proven track record in handling M&A projects, with specific experience in offshore, outbound, or joint venture transactions being a significant advantage.
  • Comprehensive knowledge of corporate and commercial laws, including expertise in contracts, Intellectual Property (IP), and real estate financing.
  • Understanding of information technology laws and PDPA/data privacy regulations to ensure organizational compliance.
  • Practical understanding of international law and cross-border frameworks, with the ability to adapt knowledge to expanding overseas markets and regulatory environments.
  • Strong project management skills and prior experience leading project-based work, which will constitute the majority of this role's focus.
  • Must be a highly self-reliant professional capable of managing all legal, operational, and administrative tasks independently without direct reports or support staff.
  • A well-rounded and adaptable professional who can effectively balance legal risks with business objectives and operational perspectives.
  • Fluent in English (listening, speaking, reading, and writing) to coordinate with international counterparts.
