Job Description

The NTUC Enterprise (NE) is the holding entity of a portfolio of businesses across the key domains of Food, Health, Education and Insurance. NE operates as an active shareholder, on behalf of the NTUC, NTUC Foundation, SLF and affiliated unions, to steer the businesses long term development to create positive impact for its key stakeholders – Customers, Shareholders, Employees, Community and the Planet.

Corporate Secretariat:

  • Ensure all documentation complies with relevant statutory and regulatory requirements, upholding the highest standards of governance.
  • Maintain proper filing of corporate secretarial documents, including accurate and up to date statutory registers.
  • Support with the execution of AGM / other shareholder meetings, ensuring legal compliance and alignment with policies.
  • Support with the content of agendas and presentation materials for Board-related meetings to facilitate effective discussions.
  • Organize and coordinate board & committee meetings.
  • Oversee accurate and timely recording, approval, and circulation of official minutes of Board and Committee meetings.
  • Maintain proper records of all board resolutions and other important decisions.
  • Maintain the Constitution and other governing documents, ensuring easy access to these documents for directors and members.

Key responsibilities relating to Charitable sector:

  • File annual returns and other statutory documents with the Commissioner of Charities (CoC) and ACRA (where applicable), within stipulated deadlines.
  • Maintain proper donation records and ensure compliance with donation regulations, with provided templates and guidelines.
  • Maintain all records required by the CoC, and ensure they are up to date, in conjunction with the filing of all annual returns and other statutory documents.
  • Exhibit a proactive commitment to mastering the Charities Act, IPC regulations, and the Code of Governance, ensuring compliance and best practices in all organisational operations.
  • Interpret and implement compliance directives aligned with the Charities Act, ensuring organisational adherence to statutory requirements.
  • Maintain the website and other communication channels, ensuring accurate and up-to-date information, by updating provided content.
  • Assist in the administration of grants and donations, ensuring proper documentation and accountability, following provided checklists.
  • Assist in the filing and maintenance of financial records as directed by the Finance Officer.
  • Ensure proper maintenance of financial records, following provided filing systems.

Special Projects:

  • Take the lead on exciting and impactful special projects, contributing to the organization's continuous innovation and evolution.
  • Collaborate with cross-functional teams to bring special projects to successful fruition, adding a dynamic dimension to your role.

Requirements:

  • Minimum of 10 years experience in corporate secretarial practice, with a proven track record in managing complex corporate governance matters.
  • Possess knowledge of the Companies Act, Charities Act, and other relevant legislation and regulations. Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and Google Workspace, with a strong aptitude for adopting new technologies and tools.
  • Exceptional interpersonal and communication skills, with fluency in both written and spoken English, enabling effective interaction with stakeholders at all levels.
  • Proactive and detail-oriented, with the ability to thrive in a dynamic, fast-paced environment while maintaining a high standard of work.
  • Agility in navigating complex and evolving regulatory landscapes, with the ability to adapt swiftly to change and implement effective solutions in a timely manner.
  • Strong team player with a positive attitude, capable of leading and mentoring junior staff to foster a collaborative and high-performing team culture.
  • Keen to learn, demonstrating strong curiosity and diligence in responsibilities, and staying abreast of developments in corporate governance and compliance.
