About the Role
Lawyerlocated in Bangkok, Thailand
Responsibilities
- M&A and new company: Petroleum, PetChem, HVP (Petroleum, PetChem (Aromatics), Solvent, Lube, Ethanol), TS Group (Hydrocarbon Solvent and Specialty Solvent, Foods, Supplements, Pharmaceutical, Cosmetic), digital, others (Core Business)
- Divestment, IPO, and Organization Change in relation to Core Business
- Commercial (Products Sales and Purchase Agreements , MOU, LOI): Core Business , and TOP Group (except TOP SPP and CVC structure)
- Financing Agreement (Intercom Loan, Bond, Loan from Financial Institutions): TOP Group
- IP registration e.g. patent registration for TOP and TOP group in relation to Core Business
- R&D agreement in relation to Core Business
- IP commercialization in relation to Core Business
- Corporate Matter (company laws + POAs + NDAs): TOP Group (except TOP SPP and CVC structure)
- Legal dispute in relation to Core Business; involving TOP Group (except TOP SPP and CVC structure)
- TOP's AGM/EGM
- Legal shared service to subsidiaries
Qualifications
- Master or Bachelor in business law will be advantage.
Requirement
- Minimum 3 years of professional experience in legal practice or corporate compliance.
- Strong ability in contract drafting, negotiation, and providing legal opinions on complex matters.
- Excellent English communication skills, both written and spoken, with the ability to advise senior management effectively.
- Fluent in Thai and English both verbal and written.
- Having ability to prioritize work and to work well under pressure
- Problem-solving and analytical skills, particularly ability to think spontaneously
- Good interpersonal skills and the ability to work well with others
