About this Role
We're looking for a Corporate Secretary to support our Board and management on governance and compliance matters. You'll manage board operations, maintain corporate records, coordinate across our subsidiaries, and work with international legal counsel.
Job Responsibilities
• Advise the Board of Directors and management on laws and regulations relevant to their duties
• Manage all board and shareholder meetings according to applicable laws and regulations
• Prepare meeting materials, maintain meeting records, and communicate board resolutions to management
• Maintain and update statutory registers as required under applicable law
• Coordinate with Investment, Finance, and Business teams to support board-level decisions
• Oversee corporate secretarial functions across subsidiaries and coordinate with subsidiary company secretaries on governance matters
• Ensure corporate governance practices are maintained and properly documented
• Liaise and coordinate with international company secretaries and foreign legal counsel on cross-border governance and compliance issues
• Liaise with external counsel, government authorities, and other third parties on corporate and governance matters
• Undertake ad-hoc projects and governance-related assignments as needed
What We're Looking For
Required:
• Bachelor's degree in Law or related field
• Minimum 3–5 years of experience in corporate secretary or company governance role
• Hands-on experience with board meetings, meeting notices, corporate records, and governance procedures
• Strong knowledge of Thai corporate law and governance standards
• Excellent business writing in Thai and English
• Good command of Microsoft Office, particularly PowerPoint and Word and strong computer literacy

Nice to Have:
• Experience in the data center, infrastructure, or technology sectors—strong advantage as you'll already understand our business context and operations
• Experience with multi-entity or joint venture structures
• Background in capital increases or corporate transactions
• Experience working with international teams or cross-border governance matters
