Job Description

A multi-sector MNC is looking for a Head of Legal, based out of Thailand and reporting directly to the General Counsel.

This positions acts as the principal deputy to the General Counsel in relation to legal delivery across the multinational group and is responsible for leading and managing complex legal workstreams, with a particular focus on mergers and acquisitions, strategic investments, large-scale projects and cross-border transactions.

The role is designed to evolve over time into the primary line-management role for senior legal staff, supporting the progressive development of a scalable Group legal function aligned with the Group's growth strategy.

Reporting Lines & Organisational Context

The Head of Legal reports directly to the General Counsel. Initially, senior legal staff will continue to report directly to the General Counsel alongside the Head of Legal. Subject to organisational development and business needs, these reporting lines are expected to transition to the Head of Legal over time.

Roles and Responsibilities

  • Provide senior, commercially focused legal advice to the General Counsel, Group leadership and business units globally.
  • Act as a strategic legal partner on complex, high-value and high-risk matters affecting the Group.
  • Support the General Counsel in shaping and implementing Group legal strategy, operating model and capability development.
  • Mergers & Acquisitions, Investments and Major Projects: Act as legal lead on major cross-border projects and other complex, multi-jurisdictional initiatives. Lead and manage legal aspects of mergers, acquisitions, joint ventures, divestments and strategic investments, including structuring, due diligence, negotiation, execution and post-completion integration.
  • Coordinate internal stakeholders and manage external counsel across multiple jurisdictions.
  • Corporate and Commercial: Provide senior legal oversight on complex commercial contracts, strategic agreements, corporate structuring, reorganisations and financing arrangements. Identify, assess and proactively manage legal and transactional risk across the Group.
  • Support dispute strategy, material claims and insurance matters in coordination with the General Counsel.
  • Leadership and Team Development: Lead, mentor and develop senior members of the legal team, drive consistency in legal standards, templates, transaction processes and best practices across the group, support succession planning and the development of a tiered legal operating model.

Key Qualifications

  • Bachelor of Laws or Juris Doctor from an accredited law school
  • Admission to practice
  • 10+ years post-qualification experience, including significant in-house and/or top-tier international law firm experience.
  • Demonstrated experience leading complex M&A and cross-border transactions.

  • Strong interpersonal and communication skills, with the ability to engage effectively with senior executives and boards.
  • Fluency in English required; additional languages an advantage.
  • Willingness to travel internationally as required.
