Legal Counsel (In-House)

Responsibilities

• Provide legal advice to management and business teams on corporate, commercial and operational matters.
• Draft, review and negotiate commercial agreements, including supply, distribution, logistics, services and confidentiality agreements.
• Support trading and business operations by advising on contracts, delivery terms, payment obligations and commercial risks.
• Review agreements and documentation relating to shipping, logistics, storage and trade finance.
• Support mergers and acquisitions (M&A), investments, joint ventures and corporate restructuring, including due diligence and transaction documentation.
• Assist with fundraising, banking and finance transactions, and related legal documentation.
• Provide legal support for corporate transactions and capital markets activities.
• Manage disputes, arbitration and litigation matters, including liaising with external legal counsel.
• Advise on corporate governance, regulatory compliance, sanctions, data protection and other legal matters.
• Support board and shareholder matters, including resolutions and corporate records.
• Develop and maintain legal templates, policies and contract management processes.
• Identify legal risks and recommend practical solutions to support business objectives.
• Provide legal guidance and training to internal teams on relevant legal and compliance matters.

Requirements

• Bachelor of Laws (LL.B) or equivalent, with admission to the Singapore Bar.
• At least 3 - 5 years of post-qualification experience in a reputable law firm and/or in-house legal environment.
• Strong experience in corporate and commercial law, including contract drafting, review and negotiation.
• Experience in M&A, investments or other corporate transactions, including due diligence.
• Exposure to cross-border transactions, trade documentation, shipping, logistics or regulatory compliance will be an advantage.
