CDG Group is seeking a Legal Manager to join its Legal and Compliance Department. This role will support the Head of Legal and Compliance in leading legal operations, providing practical legal advice to management and business units, and ensuring that the Group's commercial, corporate, regulatory, and operational activities comply with applicable laws and internal policies. The Legal Manager will oversee contract review and negotiation, corporate and compliance matters, legal risk management and initiatives to improve the efficiency and quality of legal services across the organization.
Key Responsibilities
- Lead, review, draft, and negotiate a wide range of commercial contracts, proposals, MOUs, NDAs, procurement documents, and other legal documents in Thai and English relating to commercial, financial, and operational matters.
- Provide practical and commercially focused legal advice to management and business units on contracts, corporate matters, tax, labour and employment, procurement, compliance, and other related legal issues.
- Identify, assess, and manage legal risks arising from business operations, projects, transactions, and strategic initiatives, and recommend appropriate mitigation measures.
- Support and advise management and business units on corporate governance matters.
- Conduct and supervise legal research on laws and regulations relevant to CDG Group's business activities, and provide timely updates to management.
- Develop, improve, and maintain legal document templates.
- Prepare legal opinions, legal reports, risk assessments, and management summaries for the Head of Legal and Compliance and senior management as required.
- Prepare meeting summaries and PowerPoint presentations for management meetings and other legal or compliance-related meetings.
- Conduct legal training sessions for business units on relevant legal topics, compliance requirements, contract processes, and internal policies.
- Perform other legal and compliance-related work as assigned.
Required Qualification
- Bachelor's degree or higher in Legal.
- At least 5 years of experience in legal, compliance, corporate, or commercial contract functions, preferably in an in-house legal department or law firm.
- Strong knowledge of Thai corporate law, commercial law, contract law, labour and employment law, regulatory compliance, and general business legal matters.
- Strong contract drafting, reviewing, negotiation, legal research, analytical, and problem-solving skills.
- Strong command of English for contract drafting, negotiation, legal advice, and business communication.
- Good leadership, communication, stakeholder management, and project management skills.
- Ability to work independently, manage priorities, multitask effectively, and work under pressure in a fast-paced business environment.
- Proficient in Microsoft Word. Proficiency in Microsoft Excel and PowerPoint is an advantage.
- An Attorney-at-Law license and Thai Barrister qualification is an advantage.
