Legal Manager Corporate, M&A & Commercial

Job Highlight :

Legal Manager – Corporate, M&A & Commercial will support the Head of Legal in managing legal matters relating to mergers and acquisitions, investments, joint ventures and general commercial transactions across the Group. The role will be responsible for structuring and executing M&A and investment transactions, drafting and negotiating transaction and commercial agreements, coordinating external legal advisers and providing practical corporate and commercial legal advice. The successful candidate is expected to independently manage assigned legal workstreams, identify key legal and commercial risks and provide practical, business-oriented solutions to support the Group's strategic objectives.

Job Description :

1. M&A, Investments & Joint Ventures

• Lead legal workstreams for acquisitions, disposals, investments, divestments, joint ventures and other strategic transactions
• Draft, review and negotiate transaction documents, including share purchase agreements, asset purchase agreements, subscription agreements, shareholders agreements and joint venture agreements
• Advise on transaction structures and key legal terms, including representations and warranties, indemnities, governance, funding obligations, transfer restrictions, deadlock mechanisms and exit arrangements
• Provide legal advice on the establishment, restructuring, additional investment, changes in shareholding and exit of joint ventures and investment vehicles
• Manage and coordinate legal due diligence with external legal counsel and relevant advisers
• Review material legal findings and recommend appropriate contractual protections and risk mitigation measures.
• Manage transactions from documentation through signing, closing and post-closing activities.

2. Commercial Contracts

• Draft, review and negotiate general commercial agreements, including service, procurement, supply, consultancy, NDA, cooperation and MOU agreements
• Support business teams in contract negotiations and provide practical legal solutions aligned with the Group's commercial objectives and risk appetite
• Develop and maintain standard commercial contract templates and precedents.

3. Transaction Execution & External Counsel Management

• Manage signing and closing processes for M&A, investments, joint ventures and other strategic transactions.
• Coordinate internal stakeholders, counterparties, external legal counsel and professional advisers to ensure timely transaction execution.
• Manage external legal counsel, including scope of work, legal deliverables, timelines and fees.
• Coordinate with the Legal Manager – Projects & Finance where transactions involve financing or project-specific legal workstreams.

4. Corporate & Commercial Legal Advisory

• Provide timely and practical legal advice on M&A, investments, joint ventures and commercial matters to management and business teams.
• Advise on corporate law matters relating to transactions, investments, shareholder arrangements and strategic business activities.
• Conduct legal research and advise on applicable corporate and commercial laws and regulatory requirements.
• Identify, assess and escalate material legal and transaction risks to the Head of Legal with appropriate recommendations.
• Support the Head of Legal on strategic transactions and other significant corporate and commercial matters.

Qualification :

• Bachelor of Laws (LL.B.) from a recognized university.
• LL.M. from a reputable university is preferred.
• Qualified lawyer in Thailand.
• At least 4 years of relevant legal experience, with substantive experience in Corporate/M&A, joint ventures and commercial transactions.
• Experience working with a reputable law firm is preferred.
• Experience advising listed companies, major corporate groups or multinational clients is an advantage.
• Experience in power, renewable energy, infrastructure, data center or other investment-intensive sectors is an advantage.

Required Skills

• Strong knowledge of corporate and commercial law, M&A, investments and joint venture transactions.
• Strong drafting, reviewing and negotiation skills in both Thai and English.
• IELTS overall score of at least 7.0, or equivalent English-language proficiency.
• Ability to independently manage complex M&A, JV and corporate legal workstreams.
• Strong understanding of transaction structures and shareholder arrangements.
• Strong legal research, analytical and problem-solving skills.
• Commercial mindset with the ability to identify key risks and provide practical, business-oriented legal solutions.
• Strong communication, negotiation and stakeholder-management skills.
• Ability to work effectively with senior management, business teams, counterparties and external professional advisers.
• Ability to manage multiple transactions and deadlines simultaneously.
• High attention to detail, sound professional judgment and integrity.
