About the Role
The Binary Holdings is seeking a Legal Manager to act as a hands-on legal generalist for our multi-entity, international group. Reporting and working closely with the CEO, you will lead corporate governance and entity administration across our structure while providing practical, commercially-minded legal support on contracts, corporate transactions, financing and investor matters, regulatory and data-protection compliance, and intellectual property. This is a broad, high-ownership role suited to a qualified lawyer who is comfortable operating independently across multiple jurisdictions and business lines in a fast-moving technology group.
Key Responsibilities
Corporate Governance & Entity Management
- Administer and maintain the group's corporate entities across Thailand, the DIFC, Singapore and other jurisdictions — including incorporations, dissolutions, director and secretary appointments and resignations, and statutory registers and records.
- Prepare and file annual returns, license and permit renewals, and regulatory approvals (e.g., Thailand BOI, DIFC), and keep corporate records, minute books and constitutional documents up to date.
- Manage share issuances and certificates, maintain and update cap tables across group entities and SPVs, and administer employee share and option records.
- Support group restructuring, holding-structure design and intercompany frameworks (including intercompany IP arrangements), coordinating with external counsel and advisors.
Commercial Contracts
- Draft, review, negotiate and manage a broad range of commercial agreements — MSAs, partnership and revenue-share agreements, NDAs, facility agreements, supplier and vendor contracts, and terms & conditions.
- Maintain and improve contract templates and playbooks, and help automate routine, high-volume agreements.
Corporate Transactions, Financing & Investor Matters
- Support M&A, partnerships and investment transactions, including due diligence, data-room preparation and management, and coordination of closing documentation.
- Prepare and review investor documentation (equity, convertibles, option and settlement notes) and support investor coordination through entity and structure transitions.
Regulatory, Compliance, Data Protection & IP
- Advise on data-protection and privacy compliance across jurisdictions (e.g., Thailand PDPA, DIFC data protection), including privacy notices, DPO and data-processing assessments, and cross-border data transfers.
- Run KYB/KYC and counterparty due diligence, and support licensing and regulatory queries (e.g., payment / CPS licensing).
- Manage the group's trademark portfolio and other IP filings, including registrations, amendments and name/availability checks.
Legal Operations & Business Support
- Own and maintain the legal task / CRM system and reporting, and drive legal-process and legal-AI/tooling improvements with internal teams.
- Prepare legal research memos on cross-border market entry, structuring and regulatory questions to support business decisions.
- Provide direct, practical support to the CEO and business teams, and liaise with external counsel, auditors and regulators across jurisdictions.
Qualifications & Experience
- Qualified lawyer with a law degree (LLB or equivalent) and a current lawyer's licence.
- Minimum 5 years relevant post-qualification experience in a law firm and/or in-house legal team.
- Strong corporate and commercial legal experience, covering corporate secretarial / entity management, M&A and due diligence, shareholder and stock agreements, and licences and permits; hands-on commercial contracts experience is highly preferred.
- Demonstrated experience across multiple jurisdictions; exposure to Thailand, the DIFC / UAE, Singapore and/or other international jurisdictions is a strong advantage.
- Experience working closely with senior executives on both legal and business matters.
- Language: Fluent, business-level English is essential — excellent written and spoken communication skills, including legal drafting and negotiation.
- Strong organisational skills, with familiarity with technology, Web3 / digital assets, telecommunications and/or high-growth startup environments an advantage.
