M&A and Financing Manager
The M&A and Financing Manager is a key contributor to the GreenYellow Thailand finance team whose main mission is to:
- Coordinate M&A and Financing processes with the local team and external parties
- Perform Financial Analysis for the M&A and Debt Financing/Raising activities
- Supervise and review the work of M&A and Financing Analyst
1. Financing and Structuring
- Preparing all supporting documents for Internal Approval, Financing Terms, and the Drawdown process (Materials presented to the bank, Data Room, Presentation to HQ, Shareholders, etc.)
- Coordinating the Due Diligence process with internal teams and external advisors, and participating in the negotiation of the terms and conditions and documentation with Financial Institutions.
- Building and maintaining strong relationships with local, regional, and international banks, DFIs, etc.
- Supervising the Loan Monitoring, Compliance of the Loan Agreement, and other reports related to the existing loans.
2. M&A
- Supporting the M&A and Financing Director in the buy-side transactions and involving in the full deal lifecycle.
- Managing and coordinating with other departments during the dealmaking process.
- Supporting the M&A and Financing Director in the preparation of all key memos (board presentations, valuation notes, etc.) pertaining to M&A opportunities.
- Assisting the Financial Due Diligence and Purchase Price adjustment/negotiations.
- Coordinating the different Due Diligence workstreams with external advisors such as Tax, Legal, Technical, etc.
3. Others
- Oversee the preparation and review the Financial Models (Financing and M&A)
- Travel on business trips as required by the manager.
Requirements:
- Bachelor's or Master's degree in accounting, finance, business administration, or a related field
Experience:
- From 5 to 7 years of experience in Corporate Finance, Due Diligence, and Project Finance or other Transactional Finance.
- Experience in Renewable Energy, Real Estate and/or Infrastructure in Thailand will be an advantage.
- Experience in Big 4 and/or Investment Banking is required
Skills & Knowledge:
- Strong analytical and Corporate Finance skills. Able to understand and assess Value and Value Drivers for contemplated M&A and Financing opportunities. Solid understanding of Project Finance concepts
- Strong Project Management skills are key
- Highly resourceful, organized, and comfortable working in an entrepreneurial environment where teamwork is key.
- Excellent communication and presentation skills. Able to effectively present materials to the leadership team and external stakeholders including investors. Builds and maintains excellent relationships with external advisors and other internal and external stakeholders.
- Strong problem-solving skills. Able to identify and evaluate complex Financing or M&A opportunities and develop creative solutions to overcome challenges and barriers.
- Ability to work well under pressure. Need to be able to handle multiple tasks and deadlines effectively.
- Detail-Oriented with a strong sense of personal responsibility and ownership of tasks.
