Job Description

The role

Arise IDC Company Limited (AIDC) seeks a senior legal and compliance professional to support its cloud and AI infrastructure activities. The role combines technology contracts with practical compliance controls, working with commercial, procurement, technical and operations teams. It reports to AIDC's Head of Legal and offers an opportunity to build and lead a legal and compliance function as the business grows.

Work Scopes

Legal and commercial support

• Lead legal support for technology and infrastructure projects, including partner, procurement and customer arrangements.

• Draft and negotiate hardware, software, hosting, support and other technology contracts, addressing delivery, warranties, service continuity, liability and remedies.

• Develop customer term sheets and service agreements, including platform terms, service levels and acceptable use rules.

• Advise on relevant corporate, licensing, data protection and cybersecurity requirements, and coordinate with teams responsible for regulatory filings and approvals.

Compliance and governance

• Implement risk-based customer and vendor due diligence, including ownership and restricted-party screening, end-use review, escalation and ongoing monitoring.

• Coordinate specialist counsel on cross-border trade, export controls, sanctions and other matters; translate advice into usable procedures and contract terms.

• Build a legal and compliance team and establish practical policies, approval workflows, training, incident escalation, compliance records and management reporting.

• Review new products, markets and commercial structures with business teams; identify risks early and propose workable solutions.

• Manage approved external counsel engagements and budgets.

Qualifications

• Thai law degree and at least 10 years of relevant in-house or law firm experience. Thai Bar admission or a lawyer licence is an advantage.

• Strong technology, cloud, data center, infrastructure, software or procurement contract experience, including direct work with technical and commercial teams.

• Experience with third-party due diligence and sanctions screening, and working familiarity with US sanctions and export control laws, including when to seek specialist advice.

• Leadership experience in building teams and setting up new processes and workflows, with the ability to work closely with senior management and guide cross-functional teams.

• Strong initiative and judgment: able to identify priorities, anticipate legal and compliance needs, and drive work to completion with limited direction.

• Strong Thai and English drafting, negotiation and communication skills, with a practical approach to implementation.

• Willingness to learn unfamiliar technologies, emerging business models and new areas of law, and turn that learning into practical advice.

• Experience in AI, cloud services, privacy or cybersecurity is an advantage.
