Specialist, Commercial Contracts

Job purpose

• Lead and own the legal strategy, contracting principles, and risk management framework for commercial contracts, ensuring alignment with business objectives, risk appetite, and corporate governance requirements.
• Act as the lead legal authority on complex commercial transactions, strategic projects, and contractual risk matters.
• Provide strategic legal guidance to senior stakeholders and drive commercially sound decisions that appropriately balance business opportunities and legal risks.
• Ensure True Group companies comply with applicable laws, regulations, and corporate governance requirements.
• Own and continuously improve contract governance frameworks, contracting standards, templates, and legal processes to improve risk management, consistency, and operational efficiency.
• Monitor legal and regulatory developments and determine appropriate legal responses and guidance for the business.
• Manage external counsel for outsourced legal matters and ensure efficient, high-quality, and cost-effective legal support.

Key responsibilities

Commercial Contract Strategy, Risk Management and Governance

• Lead and oversee the legal review and structuring of complex commercial contracts and strategic transactions.
• Assess legal and commercial risks, determine risk mitigation strategies, and provide practical solutions to protect the company's interests and support business objectives.
• Accountable for defining legal positions and risk management for complex commercial contracts and strategic transactions.
• Ensure contracts comply with applicable laws, regulations, and corporate governance requirements.
• Define legal positions and provide legal guidance on contractual, commercial, and legal matters, including determining acceptable legal and commercial risks within governance frameworks.
• Provide strategic legal direction for new projects, products, and services to support business goals.

Legal Advisory and Compliance

• Act as a trusted legal advisor to business units and provide legal advice and practical legal guidance that balances business objectives and legal risks.
• Advise on new products, services, commercial legal models, and transformation initiatives.
• Lead resolution of complex legal issues and contractual disputes.

Strategic Projects and External Counsel Management

• Lead legal strategy and contracting approach for business initiatives, strategic projects, and new products or services.
• Establish legal contracting structure, governance requirements, and risk management to support business objectives and project implementation.
• Collaborate with business and cross-functional teams to align legal strategy, risk positions, and project implementation.
• Act as the primary escalation point for complex contractual matters requiring legal decision.
• Manage and ensure external legal services are delivered efficiently, effectively, and in a cost-effective manner.

Legal Process Improvement and Governance

• Establish and manage legal practice to improve contract efficiency and risk management.
• Own and continuously enhance contract templates, legal playbooks, governance frameworks, and contracting standards.
• Promote knowledge sharing and capability development.

Qualification and Experience

• Bachelor of Law, or higher
• Fluent in English, both written and spoken
• Problem solving and learner mindset
• Business-oriented and collaborative approach
• Minimum 10 years of experience in commercial contracting, legal advisory, and contract risk management
• Experience in leading complex business transactions, projects, or strategic initiatives
• Experience working as in-house legal counsel, preferably in a multinational company, international business environment, and/or leading law firm
• High level of professional ethics, integrity and responsibilities
• Ability to understand legal terminology and operations
• Ability to pay attention to details and check for accuracy
• Ability to manage multiple priorities and work under pressure
• Ability to conduct research to find the most recent information about specific regulations or laws
• Ability to judge and analyze situations

• Ability to reword legal concepts into information that individuals without a legal background can understand
• Knowledge on Connected Transaction matter of Stock Exchange of Thailand (SET and SEC)
